Effective Date: 21 September 2026

This Trustee Agreement (“Agreement”) describes the role of a person (“you” or “Trustee”) named by a MemoryShield user (“User”) on memoryshield.life (the “Services”).

By accepting a trustee invitation in the Services, you agree to this Agreement.

MemoryShield is an encrypted digital-legacy vault with a release protocol. It is not a will and not a password manager. Day-to-day logins belong in the User’s password manager; MemoryShield handles vault packets, named trustees, life-check, and verification before release.

1. Role of the Trustee

As a Trustee, you may receive access to specific vault items the User designated for you, only after the MemoryShield release protocol completes for that User.

You agree to:

• treat vault contents as confidential;
• use accessed information only as the User intended;
• not share access links or vault contents except as the User’s instructions and applicable law allow.

Accepting a trustee invitation does not open the vault by itself.

2. How access works (product truth)

Access is granted only after:

• the User’s email life-check path (or another valid release path in the product, such as an emergency protocol subject to its rules) leads into verification; and
• MemoryShield’s multi-step verification process completes as configured by the User (which may include monitoring periods, backup-contact notifications, and waiting periods).

A missed life-check or an open verification flow is not, by itself, a legal or medical certification that the User is deceased or incapacitated. MemoryShield does not act as a death certifier and does not require a death certificate or legal/medical review as a product step.

MemoryShield holds master encryption keys (key escrow) so automated release to trustees can work after verification. This is not a zero-knowledge design. Authorized operators may access vault contents when the release protocol requires it.

3. Trustee vs backup contact; Family member

Trustee: may receive vault access after release, limited to items/permissions the User configured.

Backup contact: may receive notifications during life-check/verification workflows. Backup contacts do not receive vault access by virtue of that role.

Family member (plan seat): a Family plan member is not automatically a Trustee. Trustee status exists only if the User names that person as a Trustee and they accept the trustee invitation.

This Agreement applies to Trustees only — not to backup contacts, and not to Family members solely because of their plan seat.

4. Invitation is not a cryptographic secret

A trustee invitation is a product invitation to accept a role. It is not a cryptographic secret and does not by itself decrypt vault contents.

5. User configuration; MemoryShield’s limits

You and the User acknowledge that:

• the User alone chooses Trustees and access settings;
• MemoryShield does not verify that a Trustee is an appropriate or lawful choice;
• MemoryShield is not liable for disputes between User and Trustee, or for outcomes of User misconfiguration;
• MemoryShield is not a fiduciary, estate executor, lawyer, or legal advisor for the User or the Trustee;
• MemoryShield is not a will and does not replace estate planning with a licensed professional;
• MemoryShield is not a password manager and does not replace day-to-day credential storage tools.

6. Your responsibilities after access

If you receive vault access, you agree to:

• store and handle retrieved information carefully;
• access only what was released to you;
• not bypass or tamper with verification or access controls;
• not use vault information for unauthorized personal gain;
• follow applicable privacy, estate, and other laws in your jurisdiction.

7. Prohibited actions

You agree not to:

• access vault content not released to you;
• share access links or contents with unauthorized third parties;
• interfere with life-check, verification, or release systems;
• impersonate the User or MemoryShield.

8. Limitation of liability

To the maximum extent permitted by law, MemoryShield and its operators are not liable for losses arising from User trustee choices, Trustee misuse or mishandling of data, delays or disputes in verification, or failure of a Trustee to follow the User’s intentions or the law. Live Terms liability limits may also apply to use of the Services.

9. Indemnification

You will defend and indemnify MemoryShield and its operators against claims arising from your access to or use of vault data, or your breach of this Agreement.

10. Governing law

This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules (same baseline as the live Terms; may be updated with counsel).

11. Changes

If MemoryShield publishes an updated Trustee Agreement, continued acceptance of the trustee role or continued use of trustee access after notice may constitute acceptance, except where law requires otherwise.

12. Acceptance

By accepting the trustee role in the Services, you confirm that you have read this Agreement and agree to it.
